ALGEMENE VOORWAARDEN

De volgende voorwaarden zijn van toepassing op alle verkopen van Goederen door Gino Cerruti UK Ltd aan de Koper (zoals gedefinieerd). In deze voorwaarden (de "Voorwaarden") hebben de volgende woorden hun bijbehorende betekenis:

• "Koper" de persoon(en), firma of bedrijf die de Goederen van de Onderneming koopt;
• "Bedrijf" Gino Cerruti UK Ltd, geregistreerd in Engeland en Wales;
• "Overeenkomst" elke overeenkomst tussen het Bedrijf en de Koper voor de verkoop en aankoop van de Goederen, waarin deze Voorwaarden zijn opgenomen;
• "Goederen" alle goederen die in het Contract zijn overeengekomen om aan de Koper door het Bedrijf te worden geleverd (inclusief elk deel of delen ervan).

1. Met inachtneming van clausule 3, is de Overeenkomst onderworpen aan deze voorwaarden, met uitsluiting van alle andere voorwaarden (inclusief eventuele voorwaarden die de Koper beweert van toepassing te zijn onder een inkooporder of ander document).
2. Wijzigingen in deze Voorwaarden hebben geen effect, tenzij ze uitdrukkelijk schriftelijk zijn overeengekomen en ondertekend door een directeur of senior salesmanager van het Bedrijf.
3. Geen enkele bestelling van de koper wordt door het bedrijf aanvaard totdat er een schriftelijke orderbevestiging door het bedrijf is afgegeven of (indien eerder) de volledige betaling is ontvangen en het bedrijf de goederen aan de koper levert.
4. Alle tekeningen, beschrijvingen, specificaties en reclame die door het bedrijf worden uitgegeven, evenals de beschrijvingen of illustraties in de brochures van het bedrijf, zijn uitsluitend bedoeld om een benaderend idee te geven van de beschreven goederen. Ze maken geen deel uit van dit contract.
5. Tenzij schriftelijk anders overeengekomen door de onderneming, vindt levering van de goederen plaats op de vestiging van de onderneming. Er wordt een bezorgkosten (naar het adres van de koper) aan de contractprijs toegevoegd voor alle bestellingen.
7. Als bestelde artikelen niet op voorraad zijn, vindt levering plaats binnen ongeveer 10-12 weken na ontvangst van de bestelling, afhankelijk van de productiecapaciteit en beschikbaarheid van materialen. Leveringstijd is niet cruciaal, en het bedrijf is op geen enkele manier aansprakelijk voor vertragingen in de levering.
8. Als de koper om welke reden dan ook niet bereid of in staat is de levering van de goederen aan te nemen wanneer ze klaar zijn voor levering:

1. Het risico op de goederen gaat over op de koper (inclusief verlies of schade veroorzaakt door nalatigheid van het bedrijf);
2. de Goederen worden geacht te zijn geleverd; en
3. het Bedrijf kan de Goederen opslaan tot levering, waarna de Koper verantwoordelijk is voor alle gerelateerde kosten en uitgaven (inclusief, maar niet beperkt tot, opslag en verzekering).

2. De Goederen zijn vanaf het moment van verzending voor rekening van de Koper.
3. Het eigendom van de Goederen gaat pas over op de Koper wanneer het Bedrijf alle verschuldigde bedragen (in contanten of geklaarde middelen) in verband met de Goederen en andere uitstaande kosten van de Koper aan het Bedrijf volledig heeft ontvangen.
4. Totdat het eigendom is overgedragen, moet de Koper de Goederen als fiduciair houden als de bewaarnemer van het Bedrijf, de Goederen veilig opslaan en onderhouden, en deze verzekeren tegen alle risico's ten behoeve van het Bedrijf (waarbij eventuele bedragen in verband met een verzekeringsclaim naar rato worden verdeeld op basis van de waarde van de verloren of beschadigde Goederen en in vertrouwen worden gehouden voor het Bedrijf).
5. Op voorwaarde dat er geen faillissements- of soortgelijke procedures tegen de Koper zijn gestart en de Koper de Goederen niet bezwaard, zullen Clausules 12 en 13 de Koper niet verhinderen om de Goederen namens zichzelf tegen de volle marktwaarde te verkopen, maar de verkoopopbrengsten moeten in vertrouwen worden gehouden voor het Bedrijf in aparte fondsen van de gebruikelijke handelsrekening van de Koper en gebruikt worden om binnen 3 werkdagen na ontvangst eventuele bedragen die de Koper aan het Bedrijf verschuldigd is te voldoen.
6. Tenzij schriftelijk anders overeengekomen door het Bedrijf, is de prijs voor de Goederen de prijs die staat vermeld in de prijslijst van het Bedrijf op de datum van levering of vermeende levering.
7. De prijs is exclusief btw en de kosten van laden, lossen, vervoer en verzekering, die allemaal door de koper naast de opgegeven prijs moeten worden betaald wanneer de betaling voor de goederen verschuldigd is.
8. Betaling dient volledig en in duidelijk beschikbare fondsen te geschieden voorafgaand aan de levering. Tijdigheid van betaling is essentieel. Betaling kan worden gedaan via Sterling cheques, credit-/debitcard of bankoverschrijving. Wij bieden geen krediet aan retailpartners, omdat dit ons helpt om de prijzen zeer concurrerend te houden en de zakelijke relatie positiever te maken.
9. Wanneer alternatieve betalingsvoorwaarden met het bedrijf zijn overeengekomen en betalingen niet volledig zijn gedaan voor de vervaldatum, wordt er rente berekend over het openstaande bedrag vanaf die vervaldatum, tegen het jaarlijkse tarief van 3% bovenop de basisleningstarief van de BARCLAYS Bank PLC, samengestapeld per maand totdat de volledige betaling is gedaan, ongeacht of dit vóór of na enige uitspraak gebeurt.
10. Het bedrijf garandeert (met inachtneming van de andere bepalingen van deze Voorwaarden) dat de goederen op het moment van levering van bevredigende kwaliteit zullen zijn in de zin van de Warenwet 1979, zoals gewijzigd, en het bedrijf is niet aansprakelijk voor een schending van deze garantie, tenzij schriftelijk binnen 3 werkdagen na levering gemeld.
11. Alle garanties, voorwaarden en andere termen die wettelijk of op basis van gewoonterecht impliciet zijn (behalve de voorwaarden die zijn impliciet volgens sectie 12 van de Wet op de Verkoop van Goederen 1979, zoals gewijzigd) zijn, voor zover toegestaan door de wet, uitgesloten van het Contract.
12. De overeenkomst valt onder de wetten van Engeland en Wales en de partijen onderwerpen zich aan de exclusieve jurisdictie van de Engelse rechtbanken.
13. EXCLUSIVITY: Gino Cerruti UK Limited does offer exclusivity of the Gino Cerruti brand in a specific geographical area, based upon the demographic and distance calculation. The formula applied is for the purpose of being fair to all retailers whether they are located in a rural or urban site. In order to maintain the exclusivity Gino Cerruti expects the retailer to purchase and stock a reasonable part of the collection. The basis of the purchase pattern determines the level of exclusivity and privileges that we offer our retailers:

• Bronzen Retailer (Niet-exclusief) – Minder dan 48 maar meer dan 24 Jurken per jaar
• Silver Retailer (Exclusief) – Meer dan 48 jurken per jaar
• Gouden Retailer (Exclusief met Voordelen) Meer dan 97 jurken per jaar
• Franchisenemer (Exclusief, Voordelen en Integratie) Meer dan 300 per jaar

Ordering

Orders can be placed through the online Gino Cerruti web-site at www.ginocerruti.com or by fax, email or by telephone. Please note that orders placed by fax or email without checking the online inventory may mean that they will be treated as forward orders (12 weeks delivery) if they are not in stock or already in production. Our online inventory at www.ginocerruti.com All orders are subject to acceptance by Gino Cerruti UK Ltd. 4 collections or more are released each year; clients receive email notification when each new range has been uploaded on-line. You may simply order as you require stock (it is not a requirement to order from every range), however to maintain your exclusivity you must purchase your minimum requirement over the trading quarter.

Betalingen

Gino Cerruti UK Ltd accepteert Visa, MasterCard credit-/debitkaarten, evenals bankoverschrijving of Britse Cheques of bankwissels. Betaling is vereist voordat uw bestelling wordt verzonden naar uw opgegeven afleveradres. We sturen u normaal gesproken een proforma factuur via e-mail wanneer de jurken klaar zijn voor verzending (of gedeeltelijke bestelling). Na ontvangst van de betaling wordt de zending vrijgegeven voor verzending met de factuur erbij.

Verzending

All Gino Cerruti UK Ltd products are sold and shipped from Stoke Poges, United Kingdom. The retailer assumes all costs and risks pertaining to the transportation of the products sold by Gino Cerruti UK Ltd from its warehouse to the Dealer's specified "ship to" address. At the time of ordering you are provided with an approximate freight price based on the goods been delivered via our nominated delivery company, however at the time of Invoicing we will assess the freight being charged and if a less expensive option is available we will use it.

Douanekosten

Verzendfout / Beschadigde goederen

You must notify Gino Cerruti UK Ltd of any shipping errors or goods damaged in transit within 3 days of receipt of shipment. No discussion will be entered into after this period or returns accepted. Direct this notification to [email protected]. Damaged or defective merchandise will be replaced with like products in good condition as soon as possible after receipt and inspection as long as they are deemed to have been returned in the original packaging and original tags and labels. No worn product will be accepted at any time. On acceptance of the return of product by Gino Cerruti UK Ltd, a Return Merchandise Authorization number will be advised in writing. All merchandise returned without RMA# will be refused. In issuing a RMA# will not deem that the goods have been accepted back by Gino Cerruti UK Ltd. The retailer should note that Gino Cerruti take the QC process very seriously and each dress is checked by 5 unique methods and individuals prior to shipping, hence returns are treated with great concern.

Return order policy

Gino Cerruti UK Ltd accepteert retouren voor bestellingen op www.ginocerruti.com alleen bij fabricagefouten of als er verkeerde maten zijn geleverd door een fout van de verzendafdeling / stijlen ten opzichte van de bestelling. Geen andere redenen worden geaccepteerd voor retouren. Ongeautoriseerde retouren zullen door de retailer op eigen kosten worden beschikbaar gesteld voor afhaling.

Geannuleerde / Weigerde bestellingen

Er geldt een herbevoorradingsvergoeding van 50% (minimaal £100, het grootste bedrag) voor alle geannuleerde of geweigerde gefactureerde bestellingen. Als twee zendingen worden geweigerd of geannuleerd, zal het account worden beëindigd en vervangen door een nieuwe dealer in het gebied.

Voorwaarden

Alle bestellingen zijn onder voorbehoud van goedkeuring. Voor nieuwe accounts is een actuele dealer aanvraag vereist voordat de verzending plaatsvindt en dealer aanvragen kunnen zonder voorafgaande kennisgeving aan dealers veranderen. Gino Cerruti UK Ltd behoudt zich het recht voor om dealer aanvragen zonder opgaaf van redenen of aansprakelijkheid te weigeren.

Trade names

De detaillist stemt ermee in dat handelsnamen die worden gebruikt om Gino Cerruti UK Ltd of het product te identificeren, het exclusieve eigendom zijn van Gino Cerruti Ltd. & Gino Cerruti UK Ltd, en de Dealer heeft geen belang in dergelijke handelsnamen, behalve het recht om deze te gebruiken in verband met hun promotie en de verkoop van producten van Gino Cerruti & Gino Cerruti UK Ltd. Severance

Als een gedeelte van de Voorwaarden ongeldig, nietig of om welke reden dan ook niet-afdwingbaar wordt geacht, dan wordt dat deel geacht scheidbaar te zijn van deze Voorwaarden en heeft het geen invloed op de geldigheid en afdwingbaarheid van de overige bepalingen van de Voorwaarden.

Waiver

Niets kan worden opgevat als een afstand door ons van enige eerdere of volgende schending van enige bepaling.

Survival

Elke bepaling van deze Voorwaarden moet afzonderlijk worden geïnterpreteerd en blijft van kracht, ook al wordt om welke reden dan ook een of meer van die bepalingen als niet van toepassing of onafdwingbaar beschouwd in welke omstandigheden dan ook.

Entire Agreement

These Conditions (as amended from time to time) contain the entire agreement between you and us relating to the subject matter covered and supersede any previous agreements, arrangements, undertakings or proposals, written or oral, between you and us in relation to such matters. The Conditions will be exclusively governed by and construed in accordance with the laws of England & Wales whose Courts will have exclusive jurisdiction in any dispute, save that we have the right, at our sole discretion, to commence and pursue proceedings in alternative jurisdictions to the Gino Cerruti UK Ltd terms and conditions, which apply to your use of the Gino Cerruti UK Ltd Website, www.ginocerruti.com .
