UVJETI I ODREDBE

Sljedeći uvjeti primjenjuju se na svu prodaju Dobara od strane Gino Cerruti UK Ltd kupcu (kako je definirano). U ovim uvjetima (dalje u tekstu "Uvjeti"), sljedeće riječi imaju svoje odgovarajuće značenje:

• "Kupac" osoba(e), tvrtka ili društvo koje kupuje Robu od tvrtke;
• Tvrtka Gino Cerruti UK Ltd, registrirana u Engleskoj i Walesu;
• "Ugovor" svaki ugovor između Društva i Kupca za prodaju i kupnju Robe, koji uključuje ove Uvjete;
• "Robu" bilo koju robu dogovorenu u Ugovoru koju će Društvo isporučiti Kupcu (uključujući bilo koji dio ili dijelove).

4. Svi crteži, opisni materijali, specifikacije i oglasi koje izdaje Tvrtka te bilo kakvi opisi ili ilustracije sadržane u brošurama Tvrtke izdane su isključivo kako bi pružile približnu ideju o Robi koja je u njima opisana. Neće biti dio ovog Ugovora.
5. Osim ako nije drugačije dogovoreno u pisanom obliku od strane Tvrtke, isporuka Robe će se izvršiti na mjestu poslovanja Tvrtke. Naknada za isporuku (na adresu Kupca) bit će dodana cijeni Ugovora za sve narudžbe.
6. Dostava se vrši nakon što uplata stigne u potpunosti za sve iznose koje Kupac duguje Tvrtki.
7. Ako naručeni artikli nisu dostupni, isporuka traje otprilike 10-12 tjedana od primitka narudžbe, ovisno o proizvodnim kapacitetima i dostupnosti materijala. Vrijeme isporuke ne smatra se bitnim, a tvrtka ne preuzima nikakvu odgovornost za bilo kakvo kašnjenje u isporuci.
8. Ako iz bilo kojeg razloga Kupac nije voljan ili sposoban primiti isporuku bilo kojeg Proizvoda kada su spremni za isporuku:

1. Rizik povezan s Robom prelazi na Kupca (uključujući gubitak ili štetu uzrokovanu nemarom Tvrtke);
2. Robu će se smatrati isporučenom; i
3. Tvrtka može pohraniti Robu do dostave, nakon čega će Kupac snositi sve povezane troškove i izdatke (uključujući, bez ograničenja, skladištenje i osiguranje).

Dokle god vlasništvo nije prešlo, Kupac mora držati Robu u fiducijarnom odnosu kao depozitar tvrtke, sigurno pohraniti i održavati Robu, te je osigurati od svih rizika u ime tvrtke (u kojem slučaju će bilo kakva novčana sredstva u vezi s potraživanjem osiguranja biti raspoređena prema vrijednosti izgubljene ili oštećene Robe i držati u povjerenju za tvrtku).
5. Pod uvjetom da nisu pokrenuti postupci insolventnosti ili slični protiv Kupca i da Kupac ne opterećuje Robu, Odredbe 12 i 13 neće spriječiti Kupca da prodaje Robu u svoje ime po punoj tržišnoj vrijednosti, ali će svi prihodi od prodaje biti držani u povjerenju za Tvrtku na odvojenim sredstvima od uobičajenog trgovačkog računa Kupca i koristiće se za podmirenje svih iznosa koje Kupac duguje Tvrtki unutar 3 radna dana od primitka.
6. Osim ako nije drugačije dogovoreno s Tvrtkom u pisanom obliku, cijena Robe bit će cijena navedena u cjeniku Tvrtke objavljenom na dan isporuke ili smatrane isporuke.
7. Cijena je bez PDV-a, a troškovi utovara, istovara, prijevoza i osiguranja snosi Kupac uz navedenu cijenu prilikom plaćanja Robe.
8. Plaćanje se vrši u cijelosti i u čistim sredstvima prije isporuke. Vrijeme plaćanja je od suštinske važnosti. Plaćanje se može izvršiti putem čekova u britanskim funtama, kreditne/debitne kartice ili bankovnog transfera. Ne nudimo kredit trgovcima jer nam to pomaže održati visoku konkurentnost cijena i poboljšati ukupni poslovni odnos.
9. Kada su s alternativnim uvjetima plaćanja dogovoreni s tvrtkom i plaćanja nisu u potpunosti izvršena do njihovog roka, zatezna kamata obračunavat će se na preostali iznos od tog roka, po godišnjoj stopi od 3% iznad osnovne kamatne stope BARCLAYS Bank PLC, koja će se mjesečno obračunavati do potpunog plaćanja, bilo prije ili nakon bilo koje presude.
10. Tvrtka jamči da će (pod uvjetom drugih odredbi ovih Uvjeta) u trenutku isporuke, Roba biti zadovoljive kvalitete prema Zakonu o prodaji dobara iz 1979., kako je izmijenjeno, te tvrtka neće biti odgovorna za kršenje ovog jamstva osim ako nije obaviještena pisanim putem unutar 3 radna dana od isporuke.
11. Sve jamstva, uvjeti i drugi pojmovi koji su podrazumijevani zakonom ili običajnim pravom (osim uvjeta predviđenih člankom 12. Zakona o prodaji roba iz 1979. godine, kako je izmijenjen) isključeni su iz Ugovora u najvećoj mjeri dopuštenoj zakonom.
12. Ugovor podliježe zakonima Engleske i Walesa, a strane se podvrgavaju isključivoj nadležnosti engleskih sudova.
13. EXCLUSIVITY: Gino Cerruti UK Limited does offer exclusivity of the Gino Cerruti brand in a specific geographical area, based upon the demographic and distance calculation. The formula applied is for the purpose of being fair to all retailers whether they are located in a rural or urban site. In order to maintain the exclusivity Gino Cerruti expects the retailer to purchase and stock a reasonable part of the collection. The basis of the purchase pattern determines the level of exclusivity and privileges that we offer our retailers:

The retailer should note that Gino Cerruti take the QC process very seriously and each dress is checked by 5 unique methods and individuals prior to shipping, hence returns are treated with great concern.

Return order policy
